1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Participant," "you," or "your") and Redpine ("Company," "we," "us," or "our") governing your access to and use of our financial education programs and services.

By registering for any of our programs, accessing our website, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access our services.

2. Definitions

• "Services" refers to all financial education programs, consultations, and related educational content provided by Redpine.
• "Programs" includes Base Camp: Financial Essentials, Mid-Slope: Investment Orientation, and Summit View: Comprehensive Financial Strategy.
• "Participant" refers to any individual who registers for, attends, or engages with our programs.
• "Materials" refers to educational content, documents, presentations, exercises, and other resources provided as part of our programs.

3. Eligibility and Registration

3.1 Age Requirement

You must be at least 18 years of age to participate in our programs. By registering, you represent and warrant that you meet this age requirement.

3.2 Registration Process

To register for a program, you must provide accurate, current, and complete information as requested on our registration form. You agree to maintain and promptly update this information to keep it accurate and current.

3.3 Acceptance

Program registration is subject to our acceptance. We reserve the right to refuse service to anyone for any lawful reason, including but not limited to program capacity limitations or participant suitability concerns.

4. Program Fees and Payment

4.1 Fees

Program fees are as follows:

• Base Camp: Financial Essentials – ฿11,500
• Mid-Slope: Investment Orientation – ฿33,500
• Summit View: Comprehensive Financial Strategy – ฿68,000

Fees are stated in Thai Baht (THB) and are subject to change with prior notice.

4.2 Payment

Payment must be received in full before program commencement unless alternative arrangements have been made in writing. For Summit View participants, payment may be split into two installments by prior arrangement.

4.3 Payment Methods

We accept payment via bank transfer to our designated Bangkok bank account. Payment instructions will be provided upon registration acceptance.

4.4 Currency

All fees are quoted and payable in Thai Baht. Currency exchange risks are borne by the participant.

4.5 Taxes

All fees are inclusive of applicable Thai taxes. Official tax receipts will be provided upon request.

5. Cancellation and Refund Policy

5.1 Cancellation by Participant

• More than 14 days before program start: Full refund minus 10% administrative fee
• 7-14 days before program start: 50% refund
• Less than 7 days before program start: No refund
• After program commencement: No refund for attended sessions

5.2 Cancellation by Redpine

We reserve the right to cancel a program due to insufficient enrollment or unforeseen circumstances. In such cases, participants will receive a full refund or may transfer to an alternative program date at no additional cost.

5.3 Rescheduling

Participants may request to reschedule to a different program cohort subject to availability. Rescheduling requests must be made at least 7 days before the program start date.

6. Program Delivery and Participation

6.1 Program Format

Base Camp and Mid-Slope are delivered in small group format at our Bangkok location or via online platform. Summit View is delivered through private consultations. We reserve the right to determine the delivery format based on circumstances.

6.2 Attendance Requirements

Participants are expected to attend all scheduled sessions. Missed sessions cannot be made up individually. Participants missing more than one session may not receive program completion recognition.

6.3 Participant Conduct

Participants agree to:

• Engage respectfully with educators and fellow participants
• Arrive punctually to sessions
• Complete assigned exercises in good faith
• Maintain confidentiality regarding other participants' personal financial situations
• Not disrupt sessions or engage in behavior detrimental to the learning environment

6.4 Program Changes

We reserve the right to modify program content, schedules, or educators as necessary. We will provide reasonable notice of significant changes when possible.

7. Educational Nature of Services

7.1 Education, Not Financial Advice

Our programs provide financial education and general information. They do not constitute personalized financial advice, investment recommendations, or professional financial planning services. Even Summit View, while comprehensive, is educational guidance rather than licensed financial advisory services.

7.2 No Guaranteed Outcomes

We make no representations or warranties regarding specific financial outcomes, returns on investments, or results from applying program concepts. Financial decisions remain the participant's responsibility.

7.3 Consult Licensed Professionals

Participants are encouraged to consult licensed financial advisors, accountants, or legal professionals before making significant financial decisions. Our programs complement but do not replace professional advice tailored to individual circumstances.

8. Intellectual Property

8.1 Ownership

All program materials, content, presentations, exercises, and documentation are the intellectual property of Redpine and are protected by Thai and international copyright laws.

8.2 Limited License

Participants receive a limited, non-exclusive, non-transferable license to use program materials solely for personal educational purposes. This license does not permit:

• Reproduction, distribution, or sale of materials
• Commercial use of any kind
• Modification or creation of derivative works
• Public display or performance of materials
• Sharing materials with non-participants

8.3 Trademarks

Redpine, our logo, and program names are trademarks of our company. Unauthorized use is prohibited.

9. Confidentiality

We maintain confidentiality regarding participant information and financial situations shared during programs. Participants similarly agree to maintain confidentiality regarding other participants' personal information and financial circumstances discussed during group sessions.

10. Limitation of Liability

10.1 Service "As Is"

Our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

10.2 Disclaimer of Financial Outcomes

We make no warranties regarding the accuracy, completeness, or usefulness of information provided. We are not liable for any financial decisions, investments, or outcomes resulting from participation in our programs.

10.3 Limitation of Damages

To the maximum extent permitted by Thai law, our liability for any claims arising from or related to our services shall not exceed the amount of fees paid by the participant for the specific program giving rise to the claim. We shall not be liable for any indirect, incidental, consequential, or punitive damages.

10.4 Force Majeure

We are not liable for failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, government actions, pandemic, or other force majeure events.

11. Indemnification

You agree to indemnify and hold harmless Redpine, its educators, employees, and affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of our services, or your financial decisions.

12. Termination

12.1 By Participant

You may terminate your participation subject to the cancellation policy outlined in Section 5.

12.2 By Redpine

We reserve the right to terminate a participant's enrollment for breach of these Terms, disruptive behavior, non-payment, or other reasonable cause. In such cases, refund decisions will be made at our discretion.

12.3 Effect of Termination

Upon termination, your right to access program materials and attend sessions ceases immediately. Sections of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, and limitations of liability.

13. Privacy and Data Protection

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Thailand, without regard to its conflict of law provisions.

14.2 Jurisdiction

Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.

14.3 Informal Resolution

Before initiating formal proceedings, parties agree to attempt good-faith informal resolution by contacting us at [email protected] with a detailed description of the dispute. We will attempt to resolve the matter within 30 days.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Redpine regarding our services and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

15.5 Language

These Terms are provided in English. In case of any discrepancy between the English version and any translation, the English version shall prevail.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify participants of material changes via email or by posting a notice on our website. Changes become effective 14 days after notification. Your continued use of our services after changes take effect constitutes acceptance of the modified Terms.
